УПРАВЛІННЯ ЗАХИСТОМ АКЦІОНЕРНИХ ТОВАРИСТВ ВІД КОРПОРАТИВНИХ ЗАХВАТІВ

Анотація

У статті проведено дослідження з питань управління процесом захисту акціонерних товариств від корпоративних захватів. Розглянуто специфічні ролі органів корпоративного управління щодо здійснення функції захисту корпорації від корпоративних захватів. Автором була запропонована матриця виконання задач стейкхолдерами в процесі захисту акціонерного товариства від корпоративних захватів. Також автором проведене дослідження з приводу реалізації функцій органів корпоративного управління акціонерного товариства на різних етапах захисту від корпоративних захватів: попередження корпоративного захвату, захисту акціонерного товариства від корпоративного захвату та подолання наслідків корпоративного захвату. З метою формалізації та деталізації процесу управління захистом акціонерних товариств на ринку корпоративного контролю України, автором була проведена розробка функціональної моделі, використовуючи методологію IDEF0, через те, що вона дозволяє проаналізувати захист підприємства в графічному вигляді, розподіливши його за етапами проведення та визначити заходи захисту підприємства, методи за якими були визначені ці заходи та виконавців, які відповідальні за їх проведення на кожному з етапів захисту підприємства від корпоративних захватів.

GOVERNING THE PROTECTION OF CORPORATIONS FROM CORPORATE TAKEOVERS

Summary

A study on process of governing the protection joint stock companies from corporate takeovers is presented in the article. The specific role of corporate governance bodies on the implementation of the protection functions of the joint stock companies from corporate takeovers also are shown in the article. The matrix of tasks of stakeholders in the process of protection the joint stock company from corporate takeovers was proposed by the author. Also the author of a study made the implementation of the functions of the corporate governance bodies of the joint stock company at different stages of protection against corporate takeovers: first stage — warning the hostile takeover, second stage — protection the enterprise from hostile takeover, third stage — overcoming the effects of the hostile takeover. In order to formalize and detailing the process of protection and management of joint stock companies on the market for corporate control of Ukraine, the author was conducted to develop a functional model using IDEF0 methodology, because it allows to analyze the protection of the company in graphical form, spreading it on the steps of the procedure and to define measures to protect the enterprises and methods by which these measures were identified and performers, which are responsible for their conduct at every stage of the protection of businesses from corporate takeovers.
